1. Acceptance of Terms

By accessing and using PaySSD ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

PaySSD is a payment gateway platform operated by PaySSD Limited, a company registered in Kenya and licensed to operate across East Africa.

2. Eligibility

To use PaySSD, you must:

  • Be at least 18 years of age
  • Be a business or individual operating in South Sudan (current phase)
  • Have the legal authority to enter into this agreement
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3. Account Registration

To use PaySSD services, you must create an account and complete our verification process. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these terms.

4. Fees and Charges

PaySSD charges the following fees for payment processing:

  • Transaction Fee: 4.4% + $0.50 per successful transaction
  • Fee Breakdown:
    • Paystack Processing: 2.9%
    • PaySSD Platform Fee: 1.5%
    • Fixed Fee: $0.50
  • Settlement Period: T+3 business days (3 days after transaction)
  • Minimum Settlement: $10.00
  • Settlement Fee: $0.00 (currently waived)

Fees are automatically deducted from transaction amounts. We reserve the right to modify fees with 30 days notice.

5. Prohibited Activities

You may not use PaySSD for:

  • Fraudulent or illegal activities
  • Money laundering or terrorist financing
  • Sale of illegal goods or services
  • Adult content or services
  • Gambling or betting services (unless licensed)
  • Pyramid schemes or multi-level marketing
  • Sale of counterfeit goods
  • Violating intellectual property rights
  • Transactions that violate any applicable laws

Violation of these prohibitions may result in immediate account suspension and legal action.

6. Refunds and Chargebacks

Refunds: Merchants are responsible for their own refund policies. PaySSD does not process refunds directly. Merchants must refund customers through their own means.

Chargebacks: In the event of a chargeback:

  • A $15.00 chargeback fee will be deducted from your account
  • The transaction amount will be reversed from your balance
  • You will be notified and given opportunity to dispute
  • Excessive chargebacks may result in account suspension

7. Liability Limitations

PaySSD provides payment processing services "as is" without warranties of any kind. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Service interruptions or delays
  • Third-party payment processor failures
  • Unauthorized access to your account due to your negligence

Our maximum liability is limited to the fees paid by you in the 12 months preceding the claim.

8. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Platform will be revoked
  • Pending settlements will be processed according to schedule
  • You remain liable for any outstanding fees or chargebacks
  • We may retain your data as required by law

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

9. Data Protection

We collect and process your data in accordance with our Privacy Policy. By using PaySSD, you consent to such processing and warrant that all data provided is accurate.

You are responsible for ensuring that your use of PaySSD complies with applicable data protection laws, including obtaining necessary consents from your customers for payment processing.

10. Compliance Obligations

As a PaySSD merchant, you agree to:

  • Comply with all applicable laws, regulations, and card network rules
  • Maintain PCI DSS compliance if handling card data directly
  • Cooperate with our KYC/AML verification processes
  • Report any suspected fraudulent activity immediately
  • Maintain accurate records of all transactions
  • Display clear refund and cancellation policies to your customers
  • Provide accurate product/service descriptions

11. Intellectual Property

All content, trademarks, and intellectual property on the Platform are owned by PaySSD Limited. You may not use our branding without written permission.

12. Indemnification

You agree to indemnify, defend, and hold harmless PaySSD Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any disputes between you and your customers
  • Your failure to comply with applicable laws

13. Force Majeure

PaySSD shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or severe weather
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Power outages or telecommunications failures
  • Third-party payment processor outages
  • Cyberattacks or security incidents beyond our control

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved as follows:

  • Informal Resolution: Contact us first to attempt to resolve the dispute informally
  • Mediation: If informal resolution fails, parties agree to attempt mediation
  • Arbitration: Binding arbitration in Nairobi, Kenya under Kenyan arbitration rules
  • Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

15. Governing Law

These Terms are governed by the laws of Kenya. Any disputes shall be resolved in the courts of Kenya, and you consent to the exclusive jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and KYC/AML Policy, constitute the entire agreement between you and PaySSD regarding the use of our services. Any prior agreements or understandings are superseded by these Terms.

18. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes via email. Continued use of the Platform after changes constitutes acceptance.
